Earnings News... Overhill Farms Announces Revenues of $56.8 Million and Net Income of 10 Cents per Share for First Quarter

Overhill Farms, Inc. (AMEX: OFI) reported record net revenues of $56,827,000 for the first quarter ended December 30, 2007, up $16.3 million or 40% from the $40,538,000 reported for the first quarter of fiscal 2007.

Net income for the first quarter of fiscal 2008 was $1,578,000 ($0.10 per basic and diluted share) up 1.4% from the $1,556,000 ($0.10 per basic and diluted share) for the year-ago quarter.

James Rudis, Chairman and Chief Executive Officer of Overhill Farms, said, "These record results for the first quarter reflect the Company's strengths in sales, product development, production, quality control and close attention to operating margins. These strengths have enabled us to obtain significant new business which we believe will enable us to exceed last year's double-digit growth rate. Our strong first-quarter revenues demonstrate our continuing success in attracting and retaining business from some of the leading companies in the food industry."

Operating income for the most recent quarter reflected improvements in gross profit margins compared to the second, third and fourth quarters of fiscal 2007, resulting from continuing manufacturing process improvements.

Gross profit margins declined in the first quarter of fiscal 2008 compared to the year-earlier period, to 10.5% from 13.6%, due largely to higher commodity costs as well as lower margins for sales to some of the Company's major customers.

"Like most other food manufacturers, we have seen dramatic increases in commodity costs during the past year," Mr. Rudis said. "While we cover most of our ingredient costs with long-term contracts, sales to several of our customers were higher than anticipated and required purchases in the spot market at higher prices, negatively affecting overall gross margins."

Mr. Rudis added, "The agreements we have recently negotiated and are now negotiating for existing and new customers reflect the prices we will be paying to our suppliers for raw materials during the terms of these contracts. We anticipate that this will enable us to continue to improve our operating margins in the coming quarters."

Foodservice net revenues for most recent quarter decreased by $1.6 million, or 9.9%, to $14.6 million from $16.2 million a year earlier, due to a previously announced decrease in volume for an existing foodservice customer.

During the quarter the Company reached an agreement with Panda Restaurant Group which calls for minimum sales of approximately $39 million for the fiscal year. The new agreement provides for a price increase to reflect rising raw material costs for Panda products. Mr. Rudis said, "The Company believes there is opportunity for additional revenue from Panda, both through their expected growth and through additional products."

Airline net revenues increased by $996,000, or 21.7%, to $5.6 million for the quarter. The higher revenue was due to increases in passenger travel.

"Overhill Farms is continuing to increase revenues and improve margins and operating profits," Mr. Rudis said. "The interest of two competing private equity groups in acquiring the Company, disclosed in yesterday's announcement, underscores the Company's fundamental strength and potential for profitable growth. The Board of Directors remains committed to exploring all opportunities to enhance stockholders' value."

Looking at why forward PE of

Last 10Q report, date or report 8/8/07,

"we expect total sales to continue at an annual run rate of approximately $200,000,000"

supported with $53 mil 3Q revs report... making easy a TTM $.90 to $1.20 EPS this time 2008..... thus the forward PE based on today pps of $3.50

This will be a big food winner IMO...

I'm buying for the next several months...

Overhill to spin off frozen foods division Dallas Business Journal

Addison-based holding company Overhill Corp. (Amex: OVH) plans to spin off its Overhill Farms Inc. frozen foods unit and list the company on the Nasdaq SmallCap Market.

Overhill said its board of directors unanimously approved the spin-off and expects the spin-off date to be Sept. 28.

Under the proposed plan, Overhill shareholders of record at the close of business on Sept. 18 will receive one share of Overhill Farms for every two shares of Overhill Corp. common stock.

Overhill also said shareholders will be asked to approve changing the name of Overhill Corp. at a special shareholders meeting Sept. 25. The company said the name change would be made to more accurately reflect its core post spin-off business. It didn't say what the new name would likely be.

Overhill Corp., formerly named Polyphase Corp., operates in the frozen food and forestry industries. Overhill Farms makes frozen entrees for airline, food service, health care and retail customers. Its largest customers last year were King's Hawaiian, American Airlines, Jenny Craig, Panda Express and Delta Airlines. Overhill's Texas Timberjack unit distributes, leases and finances farming and logging equipment in east Texas and western Louisiana.

"By separating Overhill Farms and Texas Timberjack each management team can focus on its specific industry," Overhill CEO James Rudis said in a statement. "This will enable both companies to attract and retain key employees and to reward them with compensation plans directly tied to the success of each company."

"Also, under the new arrangement, the assets, debt, liabilities and organizational structure of the two post spin-off companies would be more clearly defined," Rudis said. "It is our belief, particularly in Overhill Farm's case, that this may give us better access to capital and debt markets and would develop opportunities that are not presently available to us.'

Overhill said once the spin-off becomes effective, Rudis will step down as president and CEO and will retain his position at Overhill Farms.

March 19, 2007.... Overhill Farms: A Small Cap Gem With High Potential

Overhill Farms, Inc. (OFI) is a smartly-positioned California company that manufactures frozen foods and packaged frozen meals. Its products include frozen soups, sauces, and entrees for retail sale under the Chicago Brothers label. The company also provides private label and co-packing agreements with such retailers as Costco (COST), Sam's Club, and Safeway (SWY); as well as Jenny Craig, the weight loss company. Overhill Farms also serves several domestic airlines. The company has two manufacturing facilities in Vernon, California.
Overhill Farms reported record net income of $1.6 million for the first quarter ended December 31, 2006, on revenues for the quarter of $40.5 million. This is a 156% increase in net income from the $607,000 for the first quarter of last year, and a 2.4% increase in net revenues from the $39.6 million reported a year earlier. What I really like here is year-over-year quarterly earnings growth of 156%.

Also, Lehman Brothers is the biggest institutional shareholder, with Wellington a close second. Even CALPERS, California's huge state pension fund, has a piece. Why would they invest in such a small business?

The answer is easy and goes beyond being the supplier of meals for Jenny Craig. Overhill Farms has a broad array of clients and will be able to survive food and transportation inflationary pressures because of the high quality nature of its food and its varied customer base, which includes high-end supermarkets, the airlines, and the ever growing ranks of American dieters. Quality is the key here along with an image of organic-like quality and freshness in frozen food.

James Rudis, Chairman and CEO of Overhill Farms, believes the company will have a revenue run rate of $200 million by the third quarter of this year. Overhill Farms recently signed a three-year agreement to produce meals for a major national food brand. The company is also scheduled to begin production, late in the second quarter, of 24 new private label food items being introduced by a major West Coast grocery chain.

Type of Company: A small cap gem that has the chance to be acquired or grow rapidly with accounts ranging from high end restaurants, to discount grocers and the airlines.

Stock Target: Overhill's stock price has room to keep growing from its already lofty $5.80 to at least $10 by the end of 2007

OFI looks very good with a 39% year over year sales growth. EPS last quarter $0.07 vs ($0.01) last year.

Institutional investors just don't know about it yet, but a few are buying and none are selling.
