NOTIFICATION UNDER LISTING RULE 16.13
                                 
Flextech plc ("the Company") has been notified by the Trustee of the Flextech
Employee Share Ownership Trust of the following allotment of shares to the Trust
in which the executive directors of the Company, namely A N Singer, P B Harman,
M W Luiz and S S Cook, have a potential interest. The allotment to the Trust was
made by the Company on 22 December 1999 when 24,795 restricted voting ordinary
shares were issued at the price of 1160p per share, to be registered in the name
of Bacon & Woodrow Trust Company (C.I.) Limited.
