Final Terms dated May 16, 2017 (the "Final Terms") relating to the EUR 2,000,000,000 aggregate principal amount of Fixed-to-Floating Rate Notes due 2028 of JPMorgan Chase & Co. to be issued under the U.S.$65,000,000,000 (in respect of Notes issued by JPMorgan Chase & Co.) and U.S.$25,000,000,000 (in respect of Notes issued by JPMorgan Chase Bank, National Association) Euro Medium Term Note Program of JPMorgan Chase & Co. and JPMorgan Chase Bank, National Association.

The Final Terms should be read and construed in conjunction with the Prospectus dated September 23, 2016 and the Supplementary Prospectuses dated October 7, 2016, October 17, 2016, November 2, 2016, November 18, 2016, January 6, 2017, January 16, 2017, February 2, 2017, March 1, 2017, April 18, 2017 and May 3, 2017 and the documents incorporated by reference therein.
