Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 24, 2024, Black Hills Corporation, a South Dakota corporation (“BKH”), disclosed that Mr. Brian Iverson had announced his intention to retire as Senior Vice President, General Counsel and Chief Compliance Officer after the appointment of his successor and no later than October 1, 2024. On August 9, 2024, Mr. Iverson informed BKH of his intent to depart on September 6, 2024 to accept a role outside of BKH. BKH’s search for a successor is ongoing.
