AGBA has 74.4 million shares outstanding, and current AGBA shareholders will own 20% of the pro forma Combined Group, equivalent to $800 million (20% of $4 billion). This implies that AGBA’s current outstanding shares are valued at $10.75 per share.

Therefore, in the merger, AGBA shareholders will receive $10.75 per share.
