Alaska Shareholders Upset Over Merger Bid (Seek to file Lawsuit)- (via Business Journal)

A group of Alaska Communications Systems shareholders are attempting to block the $300 million purchase of the company by Macquarie Capital and GCM Grosvenor. Under terms of the definitive merger agreement, Macquarie and GCM, will acquire the outstanding shares in the company for $3.00 per share.

The deal would represent a hefty premium of approximately 57% to the preceding day. The deal is slated to close next year, pending approval by regulators and a majority of Alaska shareholders.

The shareholders allege that the purchase price of $3.00 per share is insufficient in light of the company's growth prospects and that deal-protection clauses in the merger agreement preclude other companies from submitting successful competing offers. Indeed, the book value alone of the company is worth $3.17 per share and the company has over $45 million of cash on its books (or $0.83) which the buyers will use to offset the sale. In addition, shareholders allege that senior management of Alaska obtained personal benefits for their own self interests in agreeing to sell the company at that price that are not being shared with common stockholders.

Alaska investor relations did not immediately respond to requests for a comment.

Thomson Reuters issued a detailed stock report on April 13
assigning a buy recommendation on an average score of 6
out of 10, the best for ALSK this year. The stock has an
earnings rating of 10 against the industry rating of 5.9 but the
mean stock price target was decreased from 3.38 to 2.88, with
a 12 month price target high of 3.50 and low of 2.25. This is
a marked increase since the stock has a 52 week average of
2.05 and has traded significantly lower since December 2014.
There have been four positive surprise earnings quarters in
a row, Thomson gave them a score of 10. Institutions own
20.5% of ALSK stock and I believe they are responsible for
the volume doubling today (467,272) over yesterday and the
close of 1.90 (up .10)
I have believed ALSK has been undervalued for some time
and took a initial position in Oct 2012 at 2.31. I added quite
steadily and sold one-third of my shares in Aug 2013 at 3.21.
Should have sold them all, but crystal ball wasn't working
as it went South and have been deep in the red since. I did
add 500 shares around 1.55 and of course was tempted to
add near the low 12/04/2014 of 1.18 but nobody knew where
this was going to go. Or that it would go from the 52 wk low
to the 52 wk high in 24 hours. Alaskans are crazy and now I
know why.

High of $1.84 today but low volume of 80,766. Volume most
days is 2-3 times higher but pps seems to be creeping up.
Announcement of completion of the sale to GCI of the wireless
business seems to be helping. Standard & Poor raised its
debt rating to 'BB from BB-' and revised the recovery rating
from '1' to '2'. The '1' recovery rating indicates expectations
for very high(90% to 100%) recovery for secured lenders in
the event of a payment default. S&P expects the company to
use net proceeds to pay existing secured debt. B+ corporate
rating remains unchanged.
Looking at a Verizon coverage chart of the state, I'm thinking
ALSK may be relieved they no longer have to go head to
head with grizzly Verizon as a telephone company.

Seems there have been some serious profit taking that has
caused a dip yesterday and today, that has bounced right
back up. I think it is encouraging that it has held up so well.

This has been in the works for several years, you can go
back to post # 335 and click the links to see it. Note the dates
of the survey or land plats. If Alaska Communications were
bought and kept as a wholly owned subsidiary the stock
could continue to be owned and maybe they would even
go back to paying dividends again. We will have to see if
there is a lot of profit taking early next week, as a big 50%
jump in a day attracted a lot of buyers who just want to do
a drive by raid for quick money.

VZ can write it off as a loss to counter profit in the lower 48. Meanwhile ALSK is making some cash and trying hard as a small biz to provide. Buyout? Most likely if VZ is already in there buying up land, towers and equipment. I wonder why ALSK wouldn't just lease and continue making revenue off there own property.

I don't know how the pricing structure differs between VZ
and ALSK but I know a lot about Verizon, both as a stockholder and as a customer. VZ has such deep pockets
that they could continue to expand footing in the state and
operate at a loss until they drove everyone else out. But
the sale and then development of land next to the ALSK
corporate offices indicates a plan for future cooperation
between the two. Could a buyout be in the cards here?
I think so. I need $3 pps to break even anyway so I'll hold
what I own.

I think they threw in the towel trying to compete with VZ
and will concentrate on IT and fibre broadband. That's not
a bad thing if they can be profitable at it.

Maybe the call at 3:00 EST today will give more insight. But
I've been in this a long time thinking that ALSK would
eventually get profitable enough to pay dividends again
because of its move toward wireless and away from copper
and cable.

I believe wireless IS the way of the future soo-- why would ALSK sell 300mill of there assets? Will they soon be done or will they continue to provide for other companies with towers and equipment, or do they not own that anymore....

Verizon has been moving into a strictly wireless provider
position as it is the most profitable. That is why Verizon
took on huge debt buying back it's 45% of shares that were
owned by Vodaphone. Looks like Alaska is moving in the
opposite direction. I would think wireless infrastructure
would be the way to go considering the vast spaces of the
state. Or am I not understanding this right?
