OVERLAND PARK, Kan. & BELLEVUE, Wash.--(BUSINESS WIRE)-- Sprint (NYSE:S) and Clearwire (NASDAQ:CLWR) today announced that they have agreed to amend Sprint's agreement to acquire the approximately 50 percent of Clearwire it does not currently own (the "minority stake") for $5.00 per share, valuing Clearwire at approximately $14 billion, or about $0.30 per MHZ-pop. This increased offer represents a 47 percent premium to Sprint's previous offer of $3.40 per share announced on May 21, 2012 and a 285 percent premium to Clearwire's closing share price on Oct. 10, 2012, the day before the Sprint-SoftBank discussions were first confirmed in the marketplace and Clearwire was speculated to be a part of that transaction. This offer also represents a 14 percent premium to the $4.40 per share DISH tender offer.

Sprint has received commitments from a group of significant Clearwire stockholders, including Mount Kellett Capital Management LP, Glenview Capital Management LLC, Chesapeake Partners Management Co., Inc. and Highside Capital Management LP, which collectively own approximately 9 percent of Clearwire's voting shares, to vote their shares in support of the transaction. These stockholders have also agreed to sell their shares to Sprint in the event the transaction does not close.

Together with the voting commitments previously received from Comcast Corp., Intel Corp and Bright House Networks LLC, who collectively own approximately 13 percent of Clearwire's voting shares, and Clearwire's directors and officers, stockholders owning approximately 45 percent of the Clearwire voting shares not affiliated with Sprint, have now agreed to vote their shares in support of the transaction. Sprint expects a majority of the non-Sprint stockholders to support the Clearwire merger based on these agreements and the votes of shareholders with both Sprint and Clearwire shareholdings who have already voted in favor of the Sprint SoftBank transaction.

In addition to the increased price per share, the companies have further amended the merger agreement that was previously entered into. Specifically, among other things, in certain circumstances where the transaction between Sprint and Clearwire terminates, Clearwire will be required to pay a termination fee of $115 million, or 3 percent of the equity value of the minority stake. In the event the transaction is not completed, Clearwire has agreed to hold its annual shareholder meeting as expeditiously as possible and if the transaction is not completed under certain circumstances, Clearwire has agreed to waive the current standstill provision in the Equityholders' Agreement between Sprint, Clearwire, and the company's strategic investors. That standstill provision was originally set to expire on November 28, 2013.

The revised offer demonstrates Sprint's commitment to closing the Clearwire transaction and improving its competitive position in the U.S. wireless industry. Sprint is uniquely positioned to leverage Clearwire's 2.5 GHz spectrum assets. Sprint's Network Vision architecture should allow for better strategic alignment and the full utilization and integration of Clearwire's complementary 2.5 GHz spectrum assets, while achieving operational efficiencies and improved service for customers as the spectrum and network is migrated to 4G LTE standards.

Sprint's proposal provides a clear path forward for Clearwire and the merger provides attractive value for shareholders of both companies.

The transaction is subject to customary closing conditions, including regulatory approvals and the approval of Clearwire's stockholders, including the approval of a majority of Clearwire stockholders not affiliated with Sprint or SoftBank. The closing of the transaction is also contingent on the consummation of Sprint's previously announced transaction with SoftBank. SoftBank has consented to the amendment.

Guggenheim Partners’s Shing Yin in response issues a call for a “short-term trading” opportunity in Cleawire stock up to $5 to $6 per share, even though Yin’s formal price target is $3 on the stock, arguing that Softbank (9984JP), Sprint’s partner, may need to bid directly for Clearwire.

“In order to secure its Sprint/Clearwire deals, we think Softbank should bid for Clearwire within the next week and believe that a bid would likely have to be in the $5-6/share range in order to successfully deter DISH from raising its bid,” writes Yin.

“We therefore believe Clearwire shares could trade up to $5-6 over the next several weeks.”

It is a very highly complicated situation.. .what we got is a multple mergers Softbank—Sprint—Clearwire—Dish. All I can say is that CLWR is WANTED and being wanted is good! Sorry I can't go further in depth to say what will happen to CLWR..guess owning shares of Clearwire is not a game for amateurs...I'm still one but happen to own a small piece of Clwr. I am not even sure if Sprint offer $3.40 is enough..IMHO I value future PPS of CLWR @$5 ..and hope for the best.

Through the last five years cable companies have dumped hundreds of millions into this spectrum play. While WiMax didn't pan out as planned they are still major spectrum owners.
Now DirectTv wants in. This should be very interesting.

i brought that up a while back and of course everyone was shocked that i could think fraser would be so small as to have a problem with that zf/pg situation...

i brought it up when it was learned that the zf used was too powerful (or something like that)...the explanation at that time was that it was due to what essentially amounts to a stupid mistake by fraser...

pg is fraser's baby...he works at nd...nd stands to profit from pg..they get nothing from zf...kim moves to a new lab...

supposedly kim is still associated with fraser and nd...supposedly the new lab is still associated with nd as well...

fraser goes public talking about ss but says nothing about the company?...

there could be something amiss in all these associations..

In busy urban areas, it is capacity rather than range that’s required. In some countries, we are already seeing macro cells deployed very densely: in London every 400 to 500 meters, in China every 200 meters, and in Japan even closer. In this situation, we don’t recommend using lower frequencies (e.g. 700 or 850 MHz) because of the greater interference issues. Instead, we’d expect both 3G and LTE to use higher frequencies, such as 1800 MHz, 2.1 GHz, 2.3 GHz and 2.6 GHz.

From savings to the gov.

Just the cost savings alone to medicare/medicad transportation alone is in the 100's of millions per year.

This will be tied into the new healthcare savings act, and many,many,many other savings to gov.

I have had the personal experience of telemedicine.

With all the sensors available now for patients and the soon to be readily available wi/fi internet there is going to be some big time savings to the gov.

Just imagine all the other uses. The highway dept with wifi sensors on the intersections/ highway construction zones etc. etc. etc.

If you have not learned what the "Internet of Things" is yet I would recommend you do so immediately!

The Internet of people was the first boom we had and they say the "internet of things" is going to be at the very least 40 times larger. Wow! do you remember the dot com era?

exactly... the article does not say much but runs in circles...

asking the same questions without any hard answers.

the nice thing is that it lays most of what is at stake on the table... the only question is, who wants it bad enough.

another question I have is what is DISH's ulterior motive? And if it would cause problems for AT&T, then why are they not in the bidding war? or can they afford it?

Surely one would think that AT&T would be bidding for CLWR for the spectrum at least... even at $4.00 would be way over what the present two are offering and yet under market price... well, if this is considered to be worth $5 pps... that is.
