My main issue in this article was not about the company,
but rather about R/S in general, this company being a
specific example only.
As said, i have no interest in this particular company
any longer.

Yep- nothing to entice new investors. Best thing that might happen is they get bought out by a "GE" type company, imo. The current management has done nothing for investors

Hi Tim,

I am aware you are not into RADA, neither am i,
(nor intending to). A worthwhile read, nevertheless.

Rada's reverse maneuver

I have been wondering what it was that made Rada Electronic Industries Ltd. (Nasdaq: RADID) carry out a reverse split, merging every three shares into one. If it was a wish to stay on Nasdaq, then the company shouldn't have paid the consultant that gave it this idiotic suggestion. A reverse split will only succeed if it is followed by some form of interesting economic program. Otherwise, what usually happens is that after a while, the stock goes back to its price before the split, and often much lower.

At the beginning of the month Rada chairman and former Israel Air Force commander Maj. Gen. (Res) Herzle Bodinger gave an interview to the online investor news magazine Wall Street Net in which he was asked about the company, its future, and its advantages, and all the other questions that interviewers in New York usually ask managers of public companies. I listened closely to Bodinger's answers. From what I understood, he claims that Rada's solutions in the line of business that the company engages in, i.e. avionics, testing and debriefing systems are more effective than those of other companies. "How's your management," asked the interviewer, to which Bodinger replied that he himself has extensive experience of aerial combat and avionic systems management, and that he has an excellent management team working alongside him.

"What are the company's milestones for the future," the interviewer then asked. Bodinger said that after several years of investment both in equipment and strategic planning, Rada would take off in 2007. Having followed this company for 20 years, I have no doubts as to its excellent capabilities, but it also had these back in the 1990s. Why has this company, with all its potential, failed to move forward? I haven't a clue. Either way, judging by the figures, it has made fairly good progress since the turn of the century. It moved from sales of $3.8 million and a loss of more than $6 million in 2000, to $13 million sales and a loss of $2.3 million for 2005.

What about 2006? We're almost towards the end of the first quarter of 2007, yet I haven't found anything at all on Rada's performance last year on its own website or on any of the leading financial news sites. In his interview to Wall Street Net, Bodinger recommended that investors visit the company's website. Strange. He shouldn't be surprised at all if after visiting its site, visitors don't invest a single cent in Rada. Even Yahoo! has more financial information than the company site has.

Rada reports 30% drop in Q2 revenue
The company posted a net loss of $2.5 million, almost five times more than for the corresponding quarter.
Amir Keidan 17 Sep 06 11:47
Rada Electronic Industries Ltd. (Nasdaq: RADI) published its financial report for the second quarter of 2006 after trading closed on Wall Street on Friday. The quarter was a stormy one ahead of the final retirement of the company’s CEO, the reason for which only became clear a few days ago. The company posted a loss on falling revenue for the quarter.
Rada posted $4.6 million revenue for the second quarter, 30% less than for the corresponding quarter of 2005. The company posted a net loss of $2.5 million, almost five times more than for the corresponding quarter.

Rada CEO Maj.-Gen. (Res.) Herzle Bodinger said, "The loss in the first half of 2006 was greater than originally expected due to delays in the receipt of orders that the company still anticipates that it will receive in 2006. The company continues to believe that there will be an improvement in its financial results in the second half of 2006.

Rada’s customers include the Israeli Ministry of Defense, Rafael Armament Development Authority Ltd., and Lockheed Martin (NYSE:LMT). The company develops military and civilian avionic systems. Since Bodinger, a former commander of the Israel Air Force, replaced Adar Azancot as CEO in June. “Globes” reported that Azancot left because the company’s controlling shareholders refused to sell the company to a US arms manufacturer.

A few days ago, Nasdaq notified Rada that it did not meet listing criteria because its share price had been less than $1 over 30 continuous trading days, and that the company risked being delisted from the Nasdaq Small Cap index.

Tim,

FYI In the Globes Hebrew late Edition there is some
info you may find interesting.
The main points in the article:

1/In the past few years there were 3 bids to buy out
RADA by US companies from the defence sector.
2/All three bids were rejected by the biggest shareholder,
family Yang from Hong-Kong.
3/RADA CEO resigned in frustration.
4/Bodinger, RADA president believes a sell out is close,
and attributes the rejection of the owners, being Chinese,
have a much slower pace in conducting business.
5/Bodinger states the these US companies want an outlet in
Israel, and are not deterred by RADA losses.

Bottom line:
If you think it feasible, i'd suggest you hold onto your
shares for the 'premium' you might enjoy in an eventual
sell-out.

Up to you dear chap, an issue to consider.

Some old stuff:
SEATTLE and HERZLIYA, Israel, March 18, 1998 -- Boeing Enterprises and RADA Electronic Industries today announced that they have signed a preliminary agreement for Boeing to invest $10 million to acquire a minority interest in RADA. The investment will make Boeing the largest single stockholder in the Israel-based company, a leading provider of airplane avionics test equipment and electronic systems for commercial and military customers.

RADA's product line includes the Commercial Avionics Test Station, or CATS, a sophisticated, automated test system currently used by several airlines and airplane maintenance centers around the world. The company also offers avionics test and repair services at two CATS centers in Miami and Beijing, with a Los Angeles center under development and future worldwide expansion planned near major airline hubs.

Boeing has estimated the annual market for avionics test equipment and services to be approximately $1 billion.

"This is a terrific investment opportunity for Boeing and we're confident it will provide greater value to both shareholders and airline customers," said Larry Clarkson, president of Boeing Enterprises. "We believe RADA's automated test equipment and services are the very best, and uniquely capable of supporting the airlines' increasing needs for fast, low-cost fault identification and troubleshooting."

Although the agreement is for a passive equity investment only, Clarkson said Boeing might provide RADA with avionics expertise, especially on new airplane systems, and collaborative opportunities. The transaction is subject to RADA shareholder approval and normal due diligence, with the definitive agreement expected to be complete in the second quarter of 1998.

"We are delighted to establish this relationship with the world's aerospace leader," said Haim Nissenson, RADA president and chief executive officer. "We anticipate that this relationship will boost our marketing efforts for our principal product lines. The Boeing Enterprises investment also will allow us to accelerate our efforts to establish CATS service centers around the world and provide more test programs for airlines."

Nissenson added that the transaction would result in RADA issuing 10 million ordinary shares to Boeing, or 42 percent of the future outstanding shares.

A typical jetliner contains hundreds of avionics units that serve as the electronic control center for the airplane. Clarkson said when an avionics unit indicates a fault, airline mechanics usually remove the box for testing and repair -- a process that currently takes four to six weeks. More than half the time, he added, the tested units produce "no fault found" reports and can be returned to the airline's inventory.

The CATS system reduces the testing flow time on most avionics units to between 20 minutes and 6 hours, while the CATS service centers typically provide 24- to 48-hour turnaround times. In addition to being significantly faster than today's diagnostic equipment and services -- reducing airline inventory and processing costs -- CATS systems and services are less expensive than competitive offerings.

My estimate is a cease fire and a comprehensive agreement
will take place within a week to 10 days from today.

A cease fire by itself is not good enough.

Swamp, just reduced my exposure yesterday by selling half my stock. Still own it, and yes, I think the new lightening fighter Lockheed is building to replace the F-16 could be using RADI parts.

Also- UAVs are going to continue to grow in militarys. I expect RADI to have some signficant sales w/ the general at the helm now.

< I still think it had potential >

When much stronger companies, such as ESLT
are 'strong' in this niche, as well in other
related niches, and in Homeland Security in
general, you could count on it, RADA will need
nothing short of a miracle in order to survive.

That or being bought up by one of the major
players. If you think this is a viable option,
take your chances and have a go at it.

If not, i strongly suggest you 'drop' it.

Regards,

Dubi

P.S. i am known for my trifle general optimistic view,
when i have negative sentiments for a company, chances
of my being wrong is close to zero.
This is not necessarily the case when i am optimistic
about any given company/sector. In such cases i am often
proven over optimistic.

Thanks for the follow up my friend. I still think it had potential, but agree, needs someone in the drivers seat to push the company forward.

Rada CEO quits, Herzle Bodinger taking over

01.6.06 | 20:43 By Omri Cohen

Rada Electronic Industries (Nasdaq: RADI), which makes flight data recorders and navigation systems for the aerospace industry, on Thursday said its chief executive office, Adar Azancot, resigned. His resignation takes effect immediately.

Herzle Bodinger, Rada's chairman and president and a general in reserves, will assume the CEO position, the company said. Bodinger had formerly served as the chief of Israel's Air Force.

In the last year Rada has lost about half its value on the stock exchange, partly due to disappointing results.

In the company's press statement, Bodinger commented that Azancot had led a process of restructuring at Rada and led the company to leading status in the market for air combat systems.

Azancot said that in the last three years Rada had reached significant technological achievements, and that he hopes it will soon find finding to turn these technological achievements into financial ones too.

Rada has not yet published its results for the first quarter of 2006. For the year 2005 it reported a 5% drop in year over year revenues to $13.4 million, and a 71% plunge in gross profit to $1.1 million.

For the year it lost $2.3 million or 10 cents per share, after netting $0.8 million the year before.

By year-end 2005 Rada's cash position had shrunk to $350,000, from $3.5 million at the end of 2004.

Additional remarks:

1/The General was CEO prior to present booted CEO, hence
the blame is on him as well.

2/Unless a real 'killer' CEO is appointed, there is no
outlook for an upside.

3/Markets reaction to the booting of a CEO is usually positive, and bears an immediate positive impact on pps.

4/Seems like the market has a grim opinion about the company,
and even this step was not appreciated.

Many promises over the years,
however, no delivery to date.

It looks there is another chance
coming, i would not bet my farm
on it, though.

There are some very powerful
companies operating in this niche
market, hence RADIs difficulties
in the past and probably in the
future as well.

In short, to my taste the risk/reward
ratio is not appealing.

You think the general is going to be able to get this company going again? I've seen the UAVs in action now, and definitatly a niche market there. I think if they solidfy their relationship with Lockheed, could be very promising.

RADA Electronic Industries Announces Full Year 2005 Results

Wednesday March 8, 7:23 am ET

NETANYA, Israel, March 8 /PRNewswire-FirstCall/ -- RADA Electronic Industries Ltd. (Nasdaq: RADI - News) today reported its financial results for the year ended December 31, 2005. The company reported a net loss of $2.3 million or $0.10 per share (on a fully diluted basis). This compares with net income of $822,000, or $0.03 per share (on a fully diluted basis), for the year ended December 31, 2004. Operating loss for the year was $1.8 million compared with operating profit of $1.0 million in 2004.

Revenues in 2005 were $13.4 million, a decrease of 5% from 2004. The gross margin on sales also decreased from 27% in 2004 to 8% in 2005. The decrease in gross margin is attributed to the high percentage of development programs, which programs have a lower profit margin than the sales of pre-existing products offered by the Company.

Looking forward to 2006, we believe that the development efforts over the last three years will be reflected in additional sales during 2006. In addition to our pre-existing products of FACE (DATA Recorder) and CATS (Commercial Aviation Test Station), we now also offer off the shelf our Network Centric Digital Recorder (NCDR), Ground Debriefing Systems (GDS), Heads Up Display (HUD) Cameras, Rear Sentry Cameras and several core avionics computers. In addition we have increased our marketing efforts towards our strategic markets: US, India, and Israel. In the US we have received an order to supply NCDRs for the T-45. As a result of our acquisition in 2005 of the assets of Vectop, Ltd., which had existing sales to India, we are positioned to enter that market. We have also won a contract to supply our NCDR and HUD Camera for the Sea Harrier in India. As a result of our broader product range, we have begun to see an increasing number of RFP's that we are able to respond to with bids.
