Creditor Share Conversion and Notice of AGM

Catenae Innovation PLC (AIM: CTEA), the AIM quoted provider of digital media and technology, is pleased to announce that Markops Limited ("Markops"), the Group's newly appointed marketing agency, has, subject to AGM headroom approval, converted GBP12,500 of credit with the Company for services rendered. If the requisite resolution is passed, this will result in 342,465 ordinary shares in the Company being issued to Markops at a price of 3.65 pence per ordinary share ("Creditor Shares").

Application will be made to the London Stock Exchange to admit the Creditor Shares to trading on AIM. Admission of the 342,465 ordinary shares is expected to occur on or around 28 September 2020 ("Admission"). The new ordinary shares will rank pari passu with the existing ordinary shares.

For the purpose of the Disclosure and Transparency Rules, following Admission the enlarged issued share capital of the Company will comprise 221,091,508 ordinary shares of 0.2 pence each. The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure and Transparency Rules.

Notice of AGM

The Company also announces that its Annual General Meeting ("AGM") will be held on Friday, 25 September 2020 at 12 pm at the offices of the offices of Goodman Derrick LLP at 10 St Bride Street, London EC4A 4AD.

There will be a Q&A following the AGM using the Zoom Conferencing Platform. Details will be circulated with the AGM notices that will be sent to shareholders and will also be made available on the Company website.
