Share Schemes Block Listing Application

Application has been made to the UK Listing Authority for the admission to the Official List of a block listing of 1,020,000 new ordinary shares of 5 pence each fully paid in the Company and to the London Stock Exchange for such block listed shares to be admitted to trading in each case when issued. The application is being made in respect of shares to be issued pursuant to the Meggitt 2014 Long Term Incentive Plan ("LTIP") and The Meggitt PLC Share Incentive Plan ("SIP").

Out of the 1,020,000 shares in the application, 500,000 are in respect of the SIP and are being listed to replace 500,000 shares listed on 1 April 2020 in respect of the SIP, which, due to an administrative error, were subsequently issued to satisfy awards under the LTIP.

When issued, these shares will rank pari passu in all respects with the existing ordinary shares of the Company.

Admission of the shares to the Official List is expected to occur on 26 August 2020.
