REXEL LAUNCHES ITS FIRST
SUSTAINABILITY-LINKED NOTES OFFERING
FOR A NOMINAL AMOUNT OF
€300 MILLION
Rexel, worldwide expert in the multichannel
professional distribution of products and services for the energy
world, announced today that it intends to offer €300 million of
senior unsecured sustainability-linked notes due 2028 (the
“Notes”). The Notes, callable at Rexel’s discretion as from June
2024, will rank pari passu with Rexel’s senior credit facility and
other senior unsecured notes.
Rexel published today its first
Sustainability-Linked Bond Framework (the “Framework”) which covers
debt instruments whose financial characteristics are linked with
sustainability performance targets.
The Framework has been established in accordance with the
Sustainability-Linked Bond Principles (SLBP) administered by ICMA
and reviewed by Vigeo Eiris who provided a Second Party Opinion
(“SPO”) on 23 April 2021. Both the Framework and the SPO are

Under this Framework, Rexel selected two
indicators (the “Key Performance Indicators” or “KPIs”) and
committed to achieve:
- a 23% reduction
in greenhouse gas emissions related to the consumption of products
sold, per euro of turnover (scope 3) by December 31, 2023 from a
2016 baseline (“Sustainability Performance Target 1”) and
- a 23.7%
reduction in greenhouse gas emissions related to energy consumption
in its operations (scope 1 and 2) by December 31, 2023 from a 2016
baseline (“Sustainability Performance Target 2”).
These objectives are in line with Rexel 2030
ambition to reduce the first KPI by 45% and the second KPI by 35%
from a 2016 baseline.
The interest rate of the Notes shall be
increased by 25 basis points from June 15, 2024, if Rexel does not
achieve these Sustainability Performance Targets.
Rexel will use the proceeds of the issuance of
the Notes, together with available cash, to redeem part of the
2.125% senior Euro notes due June 2025 issued by Rexel on November
20, 2017 (the “2025 Notes”). Rexel expects to redeem the 2025 Notes
on or about May 12, 2021. Rexel can elect not to redeem the 2025
Notes if it does not issue all the Notes or if there is a material
adverse change in financial markets. This issuance will allow Rexel
to enhance its financial structure by extending its debt maturity
profile at favorable financing conditions.
The Notes will be offered exclusively to
investors outside the United States and are expected to be listed
on the Luxembourg Stock Exchange (Euro MTF).
Rexel expects the Notes to be rated by Moody's
and Standard & Poor’s. Ratings announcements are expected to be
released shortly by the rating agencies.

more) of the following: (i) a retail client as defined in point
(11) of Article 4(1) of Directive 2014/65/EU (as amended, “MiFID
II”); or (ii) a customer within the meaning of Directive 2016/97/EU
(as amended, the “Insurance Distribution Directive”), where that

offering or selling the Notes or otherwise making them available to

MiFID II Product Governance / Professional
Investors and Eligible Counterparties
Solely for the purposes of each manufacturer’s
product approval process, the target market assessment in respect
of the Notes has led to the conclusion that: (i) the target market
for the Notes is eligible counterparties and professional clients,
each as defined in MiFID II; and (ii) all channels for distribution
of the Notes to Eligible Counterparties and professional clients
are appropriate. Any person subsequently offering, selling or
recommending the Notes (a “distributor”) should take into
consideration the manufacturers target assessment; however, a
distributor subject to MiFID II is responsible for undertaking its
own target market assessment in respect of the Notes (by either
adopting or refining the manufacturer’s target market assessment)
and determining appropriate distribution channels.
UK MiFIR Product Governance / Professional

Intervention and Product Governance Sourcebook (the “UK MiFIR
Product Governance Rules”) is responsible for undertaking its own
target market assessment in respect of the Notes (by either

The offer and sale of the Notes in France will
be carried out through a placement, solely to qualified investors
