Notice of Annual General Meeting

Further to the publication on 29 April 2020 of the TBC Bank Group PLC ("TBC PLC") Annual Report for the financial year ended 31 December 2019, TBC PLC announces that it has, today, posted or made available to shareholders the notice of Annual General Meeting and related form of proxy (together, the "Notice of AGM").

The Notice of AGM has been submitted to the National Storage Mechanism and will shortly be available for inspection at the National Storage Mechanism located at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism . The Notice of AGM is also available on TBC PLC's website at www.tbcbankgroup.com .

The Annual General Meeting will be held at 11.00 am (BST) on Wednesday, 10 June 2020 at its registered office at Elder House, St Georges Business Park, 207 Brooklands Road, Weybridge, Surrey, KT13 0TS, United Kingdom (the "AGM").

COVID-19 Update and AGM Arrangements

The Board considers engagement with its shareholders to be of paramount importance and it is closely monitoring the impact of ongoing COVID-19 pandemic. It is currently the intention of the Company to hold the meeting as planned but the Board notes the compulsory measures prohibiting, among other things, public gatherings of more than two people in the view of the ongoing COVID-19 pandemic published by the UK government (the "Stay at Home Measures").

Given the Stay at Home Measures prohibit shareholders from attending the AGM, shareholders are encouraged to submit questions, at least 7 days prior to the date of the AGM, relating to the business being dealt with at the AGM, directly to Nikoloz Enukidze, the Chairman, using the following e-mail address: ir@tbcbank.com.ge . We will endeavour to answer your questions as soon as practicable after the AGM.

Results of the AGM

The results of the votes for each of the resolutions put forward at the AGM will be published via regulatory news service as soon as possible after the conclusion of the AGM and published on TBC PLC's website at www.tbcbankgroup.com .

The Company apologises for any inconvenience caused by these changes and arrangements but it considers these changes to be the most appropriate and responsible way to hold its AGM in light of the Stay at Homes Measures in place affecting shareholders and the Company.
