("Rotala" or "the Company" or "the Group")

Issue of Ordinary Shares

In its announcement of 1 August 2019 the Company set out that it had invited participants in its Save As You Earn scheme to apply their accrued savings under that scheme towards a subscription for ordinary shares in the Company at 56p per share (the "SAYE Participants Offer"). This Offer has now closed and the Company has issued a further 17,426 ordinary shares of 25p each ("Ordinary Shares"). These Ordinary Shares shall be satisfied from existing shares held in treasury.

As a result of the above issue, the total number of ordinary shares in issue remains unchanged at 50,746,418, of which 833,809 are held in treasury and the remaining ordinary shares in issue carrying voting rights is 49,912,609. This number (49,912,609) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interests in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
