Update on shares in relation to the acquisition of Brazilian properties

On 23 October 2019, the High Court of Justice granted Mr John O'Donnell, a shareholder of the Company, an interim injunction to the effect that, inter-alia, the Company is prohibited from registering in its register of members any transfer of the 129,227,975 ordinary shares which were the subject of a purported share allotment made on or around 21 October 2019 (the "Share Allotments").

The ordinary shares the subject of the Share Allotments were purportedly allotted to the seller of certain properties to the Company, namely Ritz Property Investimentos Imobiliarios Eireli, and certain other parties, namely Aurora Capital Limited and GFG-UK-Limited.
