First day of dealings

Octopus Renewables Infrastructure Trust plc is pleased to announce the commencement of dealings in its ordinary shares of GBP0.01 each in the capital of the Company ("Ordinary Shares") at 8.00 am today on the premium segment of the main market of the London Stock Exchange and admission to the premium segment of the Official List of the Financial Conduct Authority ("Admission"). The Ordinary Shares will trade under the ticker "ORIT".

As announced on 6 December 2019, the Company successfully raised gross proceeds of GBP350 million through the first placing, offer for subscription and intermediaries offer (the "First Issue") of Ordinary Shares. 349,999,999 Ordinary Shares were issued pursuant to the First Issue at a price of 100 pence per Ordinary Share. Of these, 258,567,214 Ordinary Shares were issued under the first placing, 36,647,264 Ordinary Shares were issued under the offer for subscription and 54,785,521 Ordinary Shares were issued under the intermediaries offer.

The Company's issued share capital immediately following Admission will comprise 350,000,000 Ordinary Shares and this is the total number of Ordinary Shares with voting rights in the Company. This figure (350,000,000) should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
