Change of Auditor

Sutton Harbour Group Plc announces that the Board has appointed Francis Clark LLP as auditors of the Company and its subsidiaries.

The change follows a review of the audit engagement after five years in line with good governance practice and a move to working with a more locally based firm. The Company wishes to thank the personnel at Nexia Smith and Williamson for their professional support and advice over recent years.

In accordance with Section 519 of the Companies Act 2006, Nexia Smith and Williamson Audit Limited has deposited with the Company a statement confirming that there are no circumstances in connection with resignation as auditor that should be drawn to the attention of the Company's shareholders or creditors.
