("Trackwise", the "Company" or the "Group")
Result of General Meeting and Total Voting Rights
The Board of Trackwise Designs plc, provider of specialist
products using printed circuit technology, is pleased to announce
that further to the announcement on 13 March 2020, all the
Resolutions put to Shareholders at the General Meeting held earlier
today were duly passed.
The General Meeting was convened to consider and approve the
Resolutions set out in the Circular and Notice which were required
to effect the Acquisition of Stevenage Circuits Limited for a total
consideration of up to GBP2.457m and a Fundraising of approximately
GBP5.87m.
Application has been made by the Company for 7,341,250 new
Ordinary Shares to be admitted to trading on AIM. It is expected
that Admission will occur and dealings in the new Ordinary Shares
will commence at 8:00am on 31 March 2020.
Following Admission, the total number of Shares in issue will be
22,113,622. There are no Shares held in treasury. Accordingly, the
total number of voting rights in the Company on Admission will be
22,113,622. This figure may be used by Shareholders as the
denominator for the calculations to determine if they are required
to notify their interest in, or a change to their interest in, the
Company under the FCA's Disclosure Guidance and Transparency
Rules.
Following the passing of the Resolutions put to Shareholders at
the General Meeting, completion of the Acquisition ("Completion")
is expected to occur at approximately 5:00pm on 1 April 2020
subject to the satisfaction or waiver (if applicable) of any other
outstanding conditions.
The Company will make a further announcement upon Completion of
the Acquisition.

(available at www.trackwise.co.uk). This announcement should be
read in conjunction with the Circular published by the Company on
13 March 2020.

Trackwise is an established business that manufactures
specialist products using printed circuit technology. The Company
consists of two divisions Improved Harness Technology TM ("IHT")
and Radio Frequency ("RF").
The IHT division utilises the Company's unique proprietary
technology, a patented process that Trackwise has developed to
manufacture unlimited length multilayer flexible printed circuits.
The Directors believe that the technology has many applications but
believe one of its primary uses could be to replace traditional
wire harness used in a variety of industries.
The RF business unit manufactures specialist printed circuits
which are primarily used in the antenna infrastructure to support
the 4G/5G mobile phone networks, as well as having a number of
other applications.
Trackwise Designs plc was admitted to trading on AIM on 31 July
2018 with the ticker TWD.
