Results of Operation and Financial Condition.

On May 9, 2020, ON Semiconductor Corporation (the “Company”) announced in a news release its financial performance for the first quarter ended April 3, 2020 and other related material information (the “Earnings Release”). A copy of the Earnings Release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
