Paul Murray to retire as Non-executive director

Shonaid Jemmett-Page appointed to succeed him

19 May 2020 - QinetiQ Group plc today announced the appointment of Shonaid Jemmett-Page as an independent Non-executive Director to the QinetiQ Board with effect from today. Shonaid Jemmett-Page will replace Paul Murray who, after ten years, will step down from the Board at the conclusion of the Annual General Meeting on 14 July 2020.

Shonaid will also become Chair of the Audit Committee Chair upon Paul's retirement from the Board.

Shonaid was the former Chief Operating Officer of CDC Group plc, the UK Government's development finance institution. She joined CDC from Unilever, where for eight years she was Senior Vice-President Finance and Information, Home and Personal Care, originally in Asia and later for the group as a whole. Her early career was spent at KPMG, latterly as a partner.

Her board level experience includes non-executive chair of Origo Partners plc and MSAmlin plc, and non-executive director roles at GKN Plc, Close Brothers Group plc and APR Energy plc.

Her current external appointments are as non-executive chairman of Greencoat UK Wind plc, non-executive director of Caledonia Investments plc, and senior independent director of Clearbank Limited.

9.6.11R and 9.6.13R of the Listing Rules of the UK Listing Authority

This notice is given in fulfilment of the obligation under paragraph 9.6.11R of the Listing Rules. There are no further details that are required to be disclosed in respect of Shonaid Jemmett-Page's appointment under paragraph 9.6.13 of the Listing Rules.

S430(2B) Companies Act 2006

Paul Murray has not and will not receive any loss of office payments, nor will he be paid any further remuneration for his service as a Director of QinetiQ Group plc, other than fees due for his services up to the date he leaves.

Fees

Shonaid Jemmett-Page's fees will be GBP52,000 per annum payable from 19(th) May 2020. Upon her appointment as Chair of the Audit Committee her fee will be GBP62,000 per annum. As previously advised, the non-executive element of the Board is taking a temporary 25% fees reduction, as part of the company's COVID-19 response, and Shonaid has volunteered to do the same.
