Hi C! I'll check out MRNS and tell you my thoughts. I recognize the focal seizure indication which means I likely checked it out some time ago so this may end up being a refresher. NVTR sounds really interesting. Thanks for that!
For psych play, I've been buying vtgn when it dips below 1.70 for the past year. And I bought a bunch of rlmd too. PIRS I sold a few weeks ago and bought back in at 4.46, think its gonna run a bit now so it'll be rinse and repeat for a while.
I'll get back to you here soon.

Selfishly, wanted your input first without opening your thoughts to an entire board if you wanted to keep it more private to begin with.

PIRS sure looks like it will continue growing.

One I like a lot is NVTR. Just getting started with revenue growth. I think (no promises, lol) it could be around $20 or so within 6 months with potential Q over Q gains. Very small share structure and float.

So my proxy for voting on the buyout appeared in my Fidelity account yesterday 9/22, with the vote due by 10/12. If you have online voting set up thru your broker, you may want to check to see whether you can vote yet.

Shares in our other accounts get printed proxies, so I can't vote those yet.

The same thing happens after many acquisitions. I remember so many were upset about Trius, after most of them had just had a tripler or better. Nothing will come of it. I am very confident of that, as these guys are buttoned down.

I consider most of your posts unhelpful and disingenuous for real investors.

However, in this case, you were asking a reasonable question that I would expect of someone without an extensive background in investing. The question could have been asked by many newbies, so I tried to give a reasonable answer.

I gave you the benefit of the doubt in this case and do not think you are 100 percent beyond redemption.

Scotty, It's the arbitrage discount. Even with a definitive agreement signed, it is always possible a deal can fall thru or that yet another party (perhaps another suitor which was rejected) can sue to block the deal. Whoever is the holder still has a risk. The greater the risk that the deal may not go thru, the greater the discount.

Cynapsus' Parkinson's drug could reach $2.0 billion in sales

The all-cash, $624 million purchase of Cynapsus Therapeutics Inc.(CYNA) by Sunovion Pharmaceuticals, announced Wednesday after the close came at quite a premium of 120%.

Powering that figure is a potentially transformative Parkinson's disease treatment. Canada-based Cynapsus (CTH.T) is poised to release late-stage clinical trial results on that drug in the next one to two months.

APL-130277 is intended to help Parkinson's patients manage the disease's so-called "off" episodes, when the disease isn't under control and the patient is less mobile. The treatment uses a molecule commonly seen in this setting, apomorphine, but as a thin strip taken under the tongue rather than an injection.

In a mid-August note, BMO Capital Markets Corp. analyst Do Kim predicted the treatment "will redefine the acute therapy market for Parkinson's."

The drug could at peak garner sales of $2 billion worldwide, with about $1.5 billion of that occurring in the U.S. That's according to estimates based on its "ease of administration combined with its milder safety profile" compared with the Parkinson's treatment Apokyn.

Cynapsus said on Monday that the Food and Drug Administration had granted its treatment a "fast track" designation, which could allow it access to a faster approval process.

Kim, in his note earlier this month, maintained an outperform rating for the company and set a $25 price target, even though Cynapsus missed BMO's earnings estimates in the second quarter, reporting an 83 cents loss per share compared with a 80 cents loss expected by BMO.

He also recommended investors purchase before phase 3 trial results emerging in September or October.

yeah, I'm not real hot on that one right now, mainly because nothing big happens immediately after a management change. I expect things to be slow there for at least 12 months.

Thanks Seel. I jumped up and down a bit and probably will invest in some real estate with the extra $. The base will go into another biotech. I learned a lot from the Trius deal and this company was the logical successor as my "lock" acquisition candidate.

I met Anthony Giovinazzo a couple times and he was kind enough to spend some time with me at 2 of the showcases. I knew these guys had something pretty much right from the start.

I'll have to decide who to go to next...have a few ideas. How about you?

I think this is a done deal. Company says 'signed definitive agreement' and 'unanimous BoD approval'. Don't think other offers will be entertained.

Through this transaction, Sunovion would acquire Cynapsus' product candidate, APL-130277, which is designed to be a fast-acting, easy-to-use, on-demand treatment option for managing OFF episodes associated with Parkinson's disease (PD).

The proposed sale of Cynapsus follows a full consideration of alternatives aimed at optimizing shareholder value for the company. Pursuant to the terms of the definitive agreement, upon closing of the proposed transaction, shareholders of Cynapsus will receive US$40.50 per common share in cash, and holders of warrants and stock options will receive a cash payment equal to the difference between US$40.50 and the exercise price of such warrant or stock option. The offer of US$40.50 per common share in cash represents a premium of 123 percent based on the volume weighted average closing price of Cynapsus' common shares on the NASDAQ Global Market for the last twenty trading days. The companies expect to close the transaction following required securityholder, court and regulatory approvals and satisfaction of certain other customary closing conditions.

The transaction will be completed by way of a plan of arrangement under the Canada Business Corporations Act. The arrangement will require approval of at least two-thirds of the votes cast by Cynapsus shareholders and warrantholders voting together as a single class at a special meeting of such securityholders of Cynapsus. Voting and Support Agreements in support of the transaction have been signed by all directors and officers of Cynapsus and the company's largest shareholder representing in the aggregate, approximately 18.33 percent of the Cynapsus securities entitled to vote to approve the transaction.

Full details of the transaction will be included in the management information circular to be filed with the applicable securities regulatory authorities and mailed to Cynapsus shareholders and warrant holders within approximately two weeks. Assuming receipt of all required regulatory approvals, the parties expect to close the arrangement in the fourth quarter of 2016.

Adagio Amending Agreement

Cynapsus and the former shareholders of Adagio Pharmaceuticals Ltd. ("Adagio") entered into a share purchase agreement dated as of December 22, 2011, as subsequently amended as of January 28, 2015 (the "Share Purchase Agreement"), pursuant to which Cynapsus acquired Adagio.

Cynapsus and the former shareholders of Adagio have amended the Share Purchase Agreement to provide, among other things, that if a change of control of Cynapsus, which would include the transaction with Sunovion, occurs before the successful completion and the first public announcement of the top-line data of the Final Safety Study (as defined in the Share Purchase Agreement), the CDN$2,500,000 of the purchase price still potentially payable to the former shareholders of Adagio shall be paid in cash (not common shares, as was originally contemplated in the Share Purchase Agreement) by Cynapsus, on the date on which the change of control transaction is completed.

As Anthony Giovinazzo, President and Chief Executive Officer of Cynapsus, is also a director, officer and majority shareholder of Adagio, the amendment of the Share Purchase Agreement constitutes a related party transaction pursuant to Multilateral Instrument 61-101 and the policies of the TSX. The amendment was necessary, and appropriate, as it ensures that if Sunovion acquires all of the common shares of Cynapsus, it would not have an obligation to potentially issue shares to the former Adagio shareholders post-closing of such acquisition. The amendment was entered into at the same time as the arrangement agreement with Sunovion and therefore was not announced more than 21 days before its execution.

About APL-130277

APL-130277, a novel formulation of apomorphine, a dopamine agonist, is being developed as a fast-acting, easy-to-use, sublingual thin film for the on-demand management of debilitating OFF episodes associated with Parkinson's disease. Apomorphine is the only molecule approved for acute, intermittent treatment of OFF episodes for advanced PD patients, but is currently only approved as a subcutaneous injection in the United States. APL-130277 is designed to rapidly, safely and reliably convert a PD patient from the OFF to the ON state while avoiding many of the issues associated with subcutaneous delivery of apomorphine. It has been studied in all types of OFF episodes, including morning OFF episodes. APL-130277 is in Phase 3 clinical trials and has not been approved by the U.S. Food and Drug Administration (FDA).

In the ongoing Phase 3 trial, CTH-300, the blinded safety data was corroborated by the DSMB findings, which were announced in the press release dated August 15, 2016. If the ongoing pivotal Phase 3 clinical trials are successful, it is expected that a New Drug Application (NDA) for APL-130277 will be submitted to the U.S. Food and Drug Administration (FDA) during the first half of 2017 under the abbreviated Section 505(b)(2) regulatory pathway. A pivotal European clinical program evaluating the safety and efficacy of APL-130277 in PD patients is expected to be initiated in the fourth quarter of 2016.

More than 1 million people in the U.S. and an estimated 4 to 6 million people worldwide suffer from PD. The European Parkinson's disease Association estimates that 1.2 million people have PD in the European Union.
