                Substantial Shareholding

The  Company was informed on 12 April 2000 by  The  Royal
Bank  of  Scotland  plc  ("RBS") on  behalf  of  RBS  and
National Westminster Bank Plc ("NatWest"), NatWest  Asset
Management  Holdings Ltd, Asset Management Holdings  Plc,
Gartmore   Investment   Management   Plc   and   Gartmore
Investment  Ltd  that RBS is interested  in  a  total  of
1,453,194  ordinary  5p shares of the Company  ("Ordinary
Shares") which represents 7.12 per cent. of the Company's
issued share capital.

Of  this  RBS interest NatWest, NatWest Asset  Management
Holdings  Ltd,  Asset Management Holdings  Plc,  Gartmore
Investment Management Plc and Gartmore Investment Ltd are
interested  in 1,450,694 Ordinary Shares which represents
7.11 per cent. of the Company's issued share capital.
