RE:  Chapter 9 Paragraph 11 of
     Continuing Obligations


Diageo plc (the "Company") announces that it was notified
on  30 March 1999 under Sections 198-208 of the Companies
Act  1985  (as  amended) that LVMH  Moet  Hennessy  Louis
Vuitton  ("LVMH")  is interested in 237,391,591  ordinary
shares  of  28  101/108 pence in the  Company  which  are
registered in the name of LVMH.

The following also have an interest in the said shares by
virtue of section 203 of the Act:-

Mr Bernard Arnault and his family
Compagnie Financiere du Nord
Group Arnault SA
Financiere Agache SA
Christian Dior SA
Financiere Jean Goujon SA.

This  notification follows transactions which the Company
understands were entered into by LVMH on 26 March 1999.

The   LVMH  shareholding  now  represents  6.61%  of  the
Company's  issued ordinary share capital as at  close  of
business on 30 March 1999.

The  Company  announced  on 26 March  1999  that  it  had
purchased  for cancellation 161,509,229 ordinary  shares.
The effective date of the purchase and cancellation is  6
April  1999 and on that date the LVMH shareholding stated
above  will  represent  6.93%  of  the  Company's  issued
ordinary share capital (based on the 30 March 1999  share
capital figure, as reduced by the cancelled shares).
