Pursuant to the passing of resolutions, at the Extraordinary General Meeting
of the Company on 21 April 1999, to introduce a Twin Share Scheme and to
redenominate the Ordinary Share Capital of Grafton Group plc into Euros, an
application has been made to the Irish Stock Exchange and the London Stock
Exchange to have 16,459,633 Grafton Units admitted to the Official List in
place of 16,459,633 ordinary shares.
