Posting of Scheme Circular
The Independent Directors of Somerfield plc ("Somerfield") announce that on 31
October 2005 the High Court of Justice of England and Wales (the "Court") made
an Order, in connection with the proposed scheme of arrangement pursuant to
section 425 of the Companies Act 1985 between Somerfield and its shareholders
(the "Scheme"), that Somerfield may convene a Court Meeting for 10.00 a.m. on
28 November 2005 of the independent shareholders of Somerfield for the purpose
of considering and, if thought fit, approving the Scheme. An extraordinary
general meeting of Somerfield has been convened for 10.15 a.m. on the same day
(or as soon thereafter as the Court Meeting has concluded or been adjourned).
The Scheme circular containing, inter alia, the terms of the Scheme, an
Explanatory Statement (pursuant to section 426 of the Companies Act 1985),
notices of the required meetings, a timetable of principal events, and details
of the action to be taken by Somerfield Shareholders was today posted to all
Somerfield Shareholders and, for information only, to participants in the
Somerfield Share Schemes (the "Scheme Circular").
As described in the Scheme Circular, the Scheme will require the approval of
the independent shareholders of Somerfield at the Court Meeting, and the
passing of a special resolution at the extraordinary general meeting of
Somerfield. The Scheme and associated Capital Reduction will also require the
subsequent sanction and (as the case may be) confirmation of the Court.
Both meetings will be held at Deutsche Bank at Winchester House, 1 Great
Winchester Street, London EC2N 2DB.
