The below email was sent to investors of Enstar Group Limited (“Enstar”
or the “Company”) on July 29, 2024 by Enstar management in connection with the proposed acquisition of Enstar by Sixth
Street, with other institutional investors participating in the transaction.

As you may have seen, today Enstar announced that it has entered into
a definitive merger agreement under which Sixth Street will acquire Enstar, with Liberty Strategic Capital, J.C. Flowers & Co.
LLC, and other institutional investors participating in the transaction.
This transaction represents a significant milestone for our company.
We remain focused on delivering attractive and innovative solutions
for our partners around the globe.
Business as Usual
As part of the proposed transaction, Enstar is expected to continue
to operate as a standalone business. Enstar’s partnership with Sixth Street will not alter its relationships or existing business
agreements with you and all polices remain intact. Enstar is expected to continue to transact business through its wholly owned subsidiaries
in Europe, Lloyd’s and the London market, the US, Australia, and Bermuda.
For more than 30 years, Enstar’s business has been built on exceptional
leadership strength, pricing and claims expertise, and an entrepreneurial, solutions-focused culture supported by our highly talented
people. None of that will change in this next chapter and all of our teams are expected to remain in place. Additionally, given the importance
of Enstar’s credit ratings to the execution of its go-forward strategy, Sixth Street is committed to maintaining Enstar’s
current ratings. This includes Cavello Bay’s ‘A’ Insurer Financial Strength Rating.
We are working to obtain regulatory and shareholder approvals, and
we expect to close the transaction in mid-2025. Following closing of the transaction Enstar will operate as a private company.
