On March 1, 2010, Ms. Sheryl S. Vittitoe
resigned as the Chief Financial Officer of the Company. Effective March 4,
2010, the Company appointed Eric A. Segal as the Companys interim Chief
Financial Officer. As a result of the transition of the Companys Chief
Financial Officer, the process of compiling and processing the information
required to be included in the Form 10-K for the period ended December 31, 2009
could not be completed without incurring undue hardship and expense.

Primarily as a result of the impact of the
loan portfolio review and allowance, the Company anticipates that a significant
decrease in operating earnings to an operating loss for the year ended December
31, 2009, as compared to the year ended December 31, 2008, will be reflected in
the earnings statements to be included in its Form 10-K for the year ended
December 31, 2009. A reasonable quantitative estimate of the
operating loss cannot be made at this time as the Companys financial
statements for the year ended December 31, 2009 are not yet finalized as stated
in Part III above.
