Kendall Law Group, led by former federal judge Joe Kendall, is
investigating Nobel Learning Communities, Inc. (NASDAQ: NLCI) for
shareholders in connection with the proposed acquisition by Leeds
Equity Partners. The national securities firm’s investigation seeks
to determine whether Nobel and its Board breached their fiduciary
duties by entering into the agreement without properly shopping for

On May 18, 2011, Nobel announced the definitive merger agreement
under which it would be acquired by Leeds Equity, in a transaction
valued at approximately $149 million. Under the terms of the
agreement, Nobel stockholders will receive $11.75 in cash for each
share of Nobel/NLCI common stock held. The firm’s investigation
seeks to determine whether Nobel and its Board undertook a fair
process in negotiating the deal.
