AWE, the "Company" or "Alphawave Semi").
July Twelve Capital Limited is a
person closely associated (within the meaning of the Market Abuse
Regulation) with John Lofton Holt, the executive chairman of the
Company.
Pitech Investments Inc. is a person
closely associated with Tony Pialis, the CEO of the
Company.
Jeevan Capital Inc. is a person
closely associated with Rajeevan Mahadevan, SVP of the
Company.
2641239 Ontario Inc. is a person
closely associated with Jonathan Rodgers, SVP of the
Company.
As disclosed in the IPO prospectus,
July Twelve Capital Limited has options to purchase up to
51,531,420 shares in aggregate from entities associated with Tony
Pialis (Pitech Investments Inc.), Rajeevan Mahadevan (Jeevan
Capital Inc.) and Jonathan Rogers (2641239 Ontario Inc.)
On 21 November 2024, the Company was
notified that July Twelve Capital Limited has exercised a
proportion of the option to acquire 18,693,708 shares for a total
exercise price of $4,315,442.49
in the following manner:
