The Placing Price is the price at
which the Shares have been placed by Winterflood Securities Limited
and is subject to a minimum of an amount equal to 98% of the
Reference Placing NAV per Share (being the NAV published on 30
August 2024, as applicable.
It is anticipated that payment for
Placing Purchases in relation to the September 2024 tender will be
made on 9 September 2024.
Terms defined in the Company's AGM
Notice and Circular dated 10 April 2024 have the same meaning in
this announcement unless otherwise defined.

1In respect of the Realisation Condition, the Company has
submitted redemption requests to the Investment Vehicle in respect
of 7,336,681 Euro Company Investment Vehicle Interests (based on a
net asset value of €1.0653) and 213,801 Sterling Company Investment
Vehicle Interests (based on a net asset value of £1.1651) and in
respect of which funds are expected to be received on or before the
anticipated payment date set out above.
