The Company presently has a preliminary agreement for an ALL-STOCK acquisition of a European based biotechnology company which owns and controls three patents: (1) long-lasting preparation of long-term stable intravenous melatonin injectable - addressing Sepsis, Bacterial pathologies, and other inflammatory pathology; (2) new melatonin formulations for the treatment of chemotherapy-resistant tumors - addressing Cancer (head and neck, prostate, breast, ovarian, melanoma, etc...); and (3) injectable melatonin composition for the treatment of viral diseases - addressing viral diseases. There are no guarantees and the Company is providing NO assurance that it could close this acquisition. Even if the Company was able to close the acquisition, the Company provides NO assurance that it could raise sufficient capital to finance the phase III clinical trials that is needed before the acquired company could start generating revenue or operating income.
