Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
As previously disclosed in a Current Report on Form 8-K filed on December 23, 2024, on December 20, 2024, Altisource Portfolio Solutions S.A. (the “Company”) received a notice from The Nasdaq Stock Market (“Nasdaq”) indicating that, for the 30 consecutive business days ending December 19, 2024, the market value of publicly held shares (“MVPHS”) of the Company’s common stock was below the $15 million minimum required for continued listing on The Nasdaq Global Select Market under Nasdaq Listing Rule 5450(b)(3)(C) (the “MVPHS Rule”). The Company was provided a compliance period until June 18, 2025, to regain compliance.
On March 12, 2025, the Company received a notice from Nasdaq stating that since the Company’s MVPHS has been $15 million or greater for the ten-day period of February 19, 2025 to March 11, 2025, the Company has regained compliance with the MVPHS Rule and Nasdaq considers the matter closed.
