Transfer of treasury shares and exercise of share options

Total Voting Rights

The Company announces that, following the exercise of share options by employees of the Company and its group, 3,200 ordinary shares of 5 pence each in the capital of the Company ("Ordinary Shares") were transferred from treasury on 23 February 2022 and a further 3,000 Ordinary Shares were transferred from treasury on 25 February 2022.

Following these transfers, the issued share capital of the Company consists of 21,465,929 Ordinary Shares of which 2,176,577 are held in treasury. Therefore, the total number of Ordinary Shares carrying voting rights in Character Group is 19,289,352. This figure of 19,289,352 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest, in the Company under the Disclosure Guidance and Transparency Rules.
