Hemingway Debenture Limited (the"charging company")
#74.26 million 10.375% Debenture Stock 2023 (the "stock")
Purchase of stock

The charging company announces that it has purchased the following stock:
          
     (1)  8th August 2004 - #3,250,000 in nominal amount of stock for 
          #4,387,500.

     (2)  23rd August 2004 - #5,713,000 in nominal amount of stock for 
          #7,712,550.

This represents 12.07 per cent of the outstanding stock.  Following these
purchases, #65,297,000 in nominal amount of the stock will remain outstanding.

The stock will be cancelled in accordance with the terms of the Trust Deed
constituting the stock.
