The Company has today published a notice in the London edition of the
Financial Times convening an adjourned meeting of holders of the Bonds, which
was first convened for 10 January 2001, to consider and, if thought fit, to
approve proposals for the substitution of Compass Group PLC for the Company as
principal obligor under the Bonds and certain amendments to the trust deed
constituting the Bonds and the terms and conditions of the Bonds (the
Proposals).



The adjourned meeting is to be held at the offices of Freshfields Bruckhaus
Deringer, 65 Fleet Street, London EC4Y 1HS on 6 February 2001 commencing at
9.30am (the Meeting).  Implementation of the Proposals requires the approval
of an extraordinary resolution of holders of the Bonds at the Meeting.
