on Capital Increase

In accordance with the extraordinary disclosure obligation stipulated under Section 55 of (Hungarian) Act CXX of 2001 on the Capital Market, MFB Hungarian Development Bank Private Limited Company (hereinafter: MFB Zrt.; or the Company) informs its investors of the following changes:

By issuing the Founders's resolution No. 17 /2022. (X.20.) t he exerciser of the ownership rights over MFB Zrt. - acting in accordance with its authority stipulated under point 8.2.(j) of the Articles of Association of MFB Zrt. - ordered to increase the share capital of MFB Zrt. by HUF 70 billion (seventy billion Hungarian Forints) to be paid in by cash contribution.

Based on the above mentioned Founder's resolution the share capital of MFB Zrt. was increased by HUF 70 billion (seventy billion Hungarian Forints) paid in by cash contribution. As a result of the capital increase, the share capital of MFB Zrt. is HUF 419.9 billion (four hundred and nineteen billion nine hundred million Hungarian Forints).

The capital increase was carried out by the Economic Development Minister exercising the ownership rights over MFB Zrt, by way of payment of cash contribution in the amount of HUF 70 billion (seventy billion Hungarian Forints) to the bank account of MFB Zrt. held with the Central Bank of Hungary.
