       NOTICE OF INTENTION TO DE-LIST SERIES C $600,000,000 FIXED/FLOATING 
 RATE NON-CUMULATIVE GUARANTEED PREFERRED SECURITIES (THE PREFERRED SECURITIES)
 

Following the full and final exchange of the Preferred Securities by 100 per
cent. of the holders of the Preferred Securities pursuant to an exchange offer,
the Issuer has (i) requested the UK Listing Authority to cancel the listing of
its Preferred Securities on the Official List maintained by the UK Listing
Authority and (ii) notified the London Stock Exchange plc that it wishes to
cancel its admission to trading on the London Stock Exchange plc of its
Preferred Securities.
