Announcement of amalgamation

The Board of Clarion Housing Group Limited announces that it has successfully concluded the amalgamation of Affinity Sutton Homes Limited and Circle Thirty Three Housing Trust Limited to form a single charitable community benefit society, Clarion Housing Association Limited.

As a result, Clarion Housing Association Limited is now the sole Guarantor pursuant to (and as defined in) the security trust deed originally dated 20 December 2005 (as amended and restated on 4 July 2008) in respect of the GBP250,000,000 5.981 per cent. Secured Bonds due 2038 issued by Affinity Sutton Capital Markets plc and GBP250,000,000 4.25 per cent. Secured Bonds due 2042, also issued by Affinity Sutton Capital Markets plc.
