8.5 PER CENT. GUARANTEED BONDS DUE 2005 AND 9.25 PER CENT. GUARANTEED
BONDS DUE 2020

Meetings of holders of the outstanding #200,000,000 8.5 per cent.
Guaranteed Bonds Due 2005 and the outstanding #300,000,000 9.25 per
cent. Guaranteed Bonds Due 2020 of B.A.T. International Finance p.l.c.
were held today at the offices of Herbert Smith, Exchange House,
Primrose Street, London to consider and vote upon an extraordinary
resolution to sanction a proposal for the early repayment of each issue
on the terms contained in the notices of meeting published in the
Financial Times on Wednesday 28th January 1998.  Both meetings, being
inquorate, have been adjourned to Thursday, 12th March 1998.  The
adjourned meetings will also be held at the offices of Herbert Smith,
Exchange House, Primrose Street, London EC2A 2HS.  Notices of the
adjourned meetings will be published in the Financial Times.
