JSC NC "KazMunayGas" ("KMG" or the "Issuer") and KazMunaiGaz
Finance Sub B.V. ("KMG Finance") announce the outcome of meetings
with respect to the consent solicitation in relation to the
outstanding notes issued by KMG detailed in the table below (each
of the seven series of notes referred to below, a "Series", and all
outstanding notes of all Series collectively, the "Notes")

2018 Notes Solicitation
NOTICE IS HEREBY GIVEN by KMG and KMG Finance to the holders of
the 2018 Notes that at the Meeting of the holders of the 2018 Notes
held at 10:00 a.m. (London time) on 31 March 2017 at the offices of
Dechert LLP at 160 Queen Victoria Street, London, EC4V 4QQ, the
Extraordinary Resolution in relation to the 2018 Notes detailed in
the Notice of Meeting dated 9 March 2017 was duly PASSED.
2020 Notes Solicitation
NOTICE IS HEREBY GIVEN by KMG and KMG Finance to the holders of
the 2020 Notes that at the Meeting of the holders of the 2020 Notes
held at 10:15 a.m. (London time) on 31 March 2017 at the offices of
Dechert LLP at 160 Queen Victoria Street, London, EC4V 4QQ, the
Extraordinary Resolution in relation to the 2020 Notes detailed in
the Notice of Meeting dated 9 March 2017 was duly PASSED.

Extraordinary Resolution in relation to the 2021 Notes detailed in

2023 Notes Solicitation
NOTICE IS HEREBY GIVEN by KMG and KMG Finance to the holders of
the 2023 Notes that at the Meeting of the holders of the 2023 Notes
held at 10:45 a.m. (London time) on 31 March 2017 at the offices of
Dechert LLP at 160 Queen Victoria Street, London, EC4V 4QQ, the
Extraordinary Resolution in relation to the 2023 Notes detailed in
the Notice of Meeting dated 9 March 2017 was duly PASSED.
2025 Notes Solicitation
NOTICE IS HEREBY GIVEN by KMG and KMG Finance to the holders of
the 2025 Notes that at the Meeting of the holders of the 2025 Notes
held at 11:00 a.m. (London time) on 31 March 2017 at the offices of
Dechert LLP at 160 Queen Victoria Street, London, EC4V 4QQ, the
Extraordinary Resolution in relation to the 2025 Notes detailed in
the Notice of Meeting dated 9 March 2017 was duly PASSED.
2043 Notes Solicitation
NOTICE IS HEREBY GIVEN by KMG and KMG Finance to the holders of
the 2043 Notes that at the Meeting of the holders of the 2043 Notes
held at 11:15 a.m. (London time) on 31 March 2017 at the offices of
Dechert LLP at 160 Queen Victoria Street, London, EC4V 4QQ, the
Extraordinary Resolution in relation to the 2043 Notes detailed in
the Notice of Meeting dated 9 March 2017 was duly PASSED.
2044 Notes Solicitation
NOTICE IS HEREBY GIVEN by KMG and KMG Finance to the holders of
the 2044 Notes that at the Meeting of the holders of the 2044 Notes
held at 11:30 a.m. (London time) on 31 March 2017 at the offices of
Dechert LLP at 160 Queen Victoria Street, London, EC4V 4QQ, the
Extraordinary Resolution in relation to the 2044 Notes detailed in
the Notice of Meeting dated 9 March 2017 was duly PASSED.
Accordingly:
(i) the modifications to, and consent in respect of, the terms
and conditions of the 2018 Notes and the 2008 Trust Deed
constituting the 2018 Notes, all as contemplated in the Notice of
Meeting dated 9 March 2017 will be implemented by means of a 2008
Supplemental Trust Deed and Trustee Consent Letter of the same
date;
(ii) the modifications to, and consent in respect of, the terms
and conditions of the 2020 Notes and the 2010 Trust Deed
constituting the 2020 Notes, all as contemplated in the Notice of
Meeting dated 9 March 2017 will be implemented by means of a 2010
Supplemental Trust Deed and Trustee Consent Letter of the same
date;
(iii) the modifications to, and consent in respect of, the terms
and conditions of the 2021 Notes and the 2010 Restated Trust Deed
constituting the 2021 Notes, all as contemplated in the Notice of
Meeting dated 9 March 2017 will be implemented by means of a 2010
November Supplemental Trust Deed and Trustee Consent Letter of the
same date;
(iv) the modifications to, and consent in respect of, the terms
and conditions of the 2023 Notes and the 2043 Notes and the 2013
Trust Deed constituting the 2023 Notes and the 2043 Notes, all as
contemplated in the Notice of Meeting dated 9 March 2017will be
implemented by means of a 2013 Supplemental Trust Deed and Trustee
Consent Letter of the same date; and
(v) the modifications to, and consent in respect of, the terms
and conditions of the 2025 Notes and the 2044 Notes and the 2014
Trust Deed constituting the 2025 Notes and the 2044 Notes, all as
contemplated in the Notice of Meeting dated 9 March 2017 will be
implemented by means of a 2014 Supplemental Trust Deed and Trustee
Consent Letter of the same date.
The Effective Date for each of modifications and consents listed
above to take effect will be 4 April 2017 and the Settlement Date
in respect of payment of the relevant Consent Fees will be 7 April
2017.
