On 1 December 2021, the Financial Conduct Authority confirmed approval of each of the transfers of engagements of:

(a) Incommunities Group Limited (registered as a charitable community benefit society under the Co-operative and Community Benefit Societies Act 2014 with registered number 8711 and registered as a registered provider with the Regulator of Social Housing with registered number L4363), the parent of the Issuer and of the Incommunities Group, to Incommunities Limited (registered as a charitable community benefit society under the Co-operative and Community Benefit Societies Act 2014 with registered number 30178R and registered as a registered provider with the Regulator of Social Housing with registered number L4476); and

(b) Sadeh Lok Limited (registered as a charitable community benefit society under the Co-operative and Community Benefit Societies Act 2014 with registered number 26410R and registered as a registered provider with the Regulator of Social Housing with registered number L3807) to Incommunities Limited,

each pursuant to section 110 of the Co-operative and Community Benefit Societies Act 2014.

Prior to the transfers taking effect, each of Incommunities Limited and Sadeh Lok Limited had entered into Bond Loan Agreements, each as a borrower, with the Issuer. Following the transfers, Incommunities Limited will be the sole borrower under the bond structure and will also be the parent of the Issuer.
