    Asia Distribution Solutions Limited ("ADSL" or the "Company")
    Statement re: possible offer
    The Board of ADSL (AIM: ADSL) confirms that it is in discussions with a third party which may or may not lead to an offer being made for
the entire issued and to be issued share capital of the Company.  Discussions are at an early stage, are subject to various pre-conditions,
including financing and due diligence, and there can be no certainty that they will lead to an offer being made.
    Shareholders are reminded that the City Code on Takeovers and Mergers does not apply to the Company as it is incorporated in the Cayman
Islands and has its operations in China. Any takeover of the Company therefore would be unregulated by the UK takeover authorities. The
Company's articles of association do, however, contain certain takeover protections which the Board will enforce if any offer is made for
the Company. A copy of the Company's articles of association may be viewed on the Company's website at
http://www.asiadistributionsolutions.com.
    The Company has 30,676,000 ordinary shares in issue and admitted to trading on the AIM market of the London Stock Exchange plc under the
ISIN code KYG0538E1035.
