CHINESE MERGER CONTROL CONDITION SATISFIED

Dentsu and Aegis announce that clearance from the Ministry of Commerce of the People's Republic of China ("MOFCOM") pursuant to the Anti-Monopoly Law of the People's Republic of China has now been received and that the condition contained in paragraph 2(c) of Part A of Part Three of the Scheme Document relating to Chinese merger control has been satisfied.

As announced on 22 March 2013, the Court has sanctioned the Scheme and the Second Court Hearing is expected to take place on 26 March 2013. Subject to the Scheme becoming effective in accordance with the Scheme Document, the Scheme is expected to complete on 26 March 2013.

Defined terms used in this announcement have the same meanings as are given to them in the Scheme Document.
