                Result of Extraordinary General Meeting ("EGM")


Celltech announces that at an EGM held earlier today, the first EGM to be held
in relation to the recommended merger offer for Chiroscience Group plc
("Chiroscience") made by Robert Fleming & Co. Limited ("Flemings") on behalf
of Celltech (the "Merger Offer"), the resolutions to approve and implement the
Merger Offer and matters related to the Merger Offer were duly passed.

Resolutions were also passed by the shareholders of Celltech to increase the
overall limit of total non-executive directors' remuneration, to amend the
rules of the Celltech Group 1993 Executive Share Option Scheme and to adopt
new option schemes, conditional on the Merger Offer becoming unconditional in
all respects.

A second EGM relating to the change of the company's name to Celltech
Chiroscience plc will be held at 3.00 p.m. on Thursday, 29 July 1999 at the
offices of Celltech, 216 Bath Road, Slough, Berkshire SL1.

The first closing date of the Merger Offer is Tuesday, 27 July 1999. 
Chiroscience shareholders are reminded that acceptances of the Merger Offer
should be returned as soon as possible and in any event so as to be received
by no later than 3.00 p.m. on that day.
