       Result of Extraordinary General Meeting ("EGM")
                              
                              
Celltech  announces that at an EGM held earlier  today,  the
second  EGM to be held in relation to the recommended merger
offer  for Chiroscience Group plc ("Chiroscience")  made  by
Robert  Fleming  &  Co. Limited ("Flemings")  on  behalf  of
Celltech (the "Merger Offer"), the resolution to change  the
name of the Company to Celltech Chiroscience plc, subject to
the Merger Offer becoming unconditional in all respects, was
duly passed.
