Adjournment of EGM

ARC Capital Holdings Limited (AIM:ARCH) (the "Company"). Further to the announcement made by the Company on 18 November 2011 regarding the receipt of a letter and ensuing announcement from certain investors (the "Investors"), the Company has engaged with the Investors.

The Board believes that as long as the concerns and wishes of the majority of shareholders can be met, it is preferable that shareholders have the opportunity to consider and vote on a single proposal at one extraordinary general meeting. Based on discussions with the Investors and other shareholders, the Board believes such a proposal is possible and will therefore adjourn the extraordinary general meeting called for 14 December 2011 indefinitely to prepare a new shareholder circular.

A further announcement by the Board will be made in due course.
