Sale of Ningxia Xiajin Dairy Co., Ltd.

ARC Capital Holdings Limited ("ARCH") (AIM: ARCH) is pleased to announce that on 19 January 2014, it entered into a definitive agreement to sell its entire stake in Ningxia Xiajin Dairy Co., Ltd. ("Xiajin Dairy") to Prospect Link Limited, an investment holding company controlled by a trade buyer, for total cash consideration of US$30.0 million, which is approximately 1.7 times ARCH's initial investment cost of US$18.1 million and 0.8 times the carrying value for the investment as of 30 September 2013. Xiajin Dairy is the largest manufacturer and distributor of dairy products in Ningxia province. The transaction is expected to be completed by the end of the month, subject to certain conditions precedent typically associated with such a sales process. Proceeds from the sale will be distributed to shareholders in due course.
