                     Results of AGM and Board Changes

At the Annual General Meeting of the Company held today, all resolutions were
duly passed.

Ashton Penney Holdings Plc announces the resignation of James Martin Handley
Wheeler from the Board of Directors,  effective 31 December 2007.

With effect from 1 January 2008 Mr Colin Maitland, currently a non executive
director will assume the role of non  executive chairman.  Mr Graham Cole the
current non executive chairman will continue as a non executive director.

The Board would like to express its thanks to Mr Wheeler and Mr Cole for their
contribution since the company was  floated on AiM in 2005.
