Baloise returns CHF 617 mn to shareholders via share buyback program
 
 
Basel, April 25, 2008. In the last two years, the Baloise Group has distributed
CHF 617 mn to its shareholders by repurchasing shares. The program was completed
more than one year earlier than planned.
 
As announced on March 21, 2006, the Baloise has repurchased a total of
5,530,715 shares since May 22, 2006. Thanks to a combination of good
profitability and favorable market conditions, the share buyback was
accelerated. It was completed on April 25, 2008, more than one year earlier than
planned.
 
The shares were repurchased at an average price of CHF 111.53 through a second
trading line at SWX Europe. In total, CHF 617 mn has been returned to the
shareholders.
 
At the General Meeting of April 27, 2007, it was proposed that the share
capital be reduced by the cancellation of 1,307,150 shares (24% of the
repurchase volume), and at the next General Meeting - to be held on April 29,
2008 - a proposal will be made to cancel a further 4,000,000 shares (72% of
the repurchase volume).
 
The remaining 223,565 shares will continue to be held by the Baloise. Subject
to the decision of the General Meeting on April 29, 2008, 50,000,000 Baloise
shares of CHF 0.10 par value each will be in circulation in the future.
