We advise that at the Bank's Annual and Special Meeting held on February 29,
2000, Robert Chevrier was elected a Director.  We also advise that Ralph M.
Barford, Ronald N. Mannix and Eric H Molson did not stand for re-election at the
Meeting.

These changes were contained in our Proxy Circular forwarded to the Exchange on
January 10.
