The Independent Directors of CALA note the statement from the
Panel on Takeovers and Mergers dismissing the Miller Group's
(Miller) appeal under Rule 32.2 of the Code.  They also note
Dotterel's announcement of an Increased and Final Offer of
200p per share.  The Independent Directors' will now consider
in detail the terms and conditions of the 200p cash offers
from both Miller and Dotterel respectively.  They will also
consider, in conjunction with their advisers, all possible
factors in respect of the two offers including the interests
of both CALA's shareholders and employees.

Further to the subsequent announcement made by Miller 1999
plc, the Independent Directors confirm that they have received
no proposals from institutional shareholders  or any other
third party to make an offer for CALA plc in excess of 200p
per share.

In the meantime the Independent Directors advise CALA
shareholders to take no action.
